Terms
These cover the website. Actual engineering work runs under a separate signed agreement, and nothing here overrides one.
1. Who these are with
This site, https://groundplanestudio.com, is published by Ground Plane Studio, LLC, a Californialimited liability company trading as Groundplane Studio ("we", "us"). Using the site means you accept these terms. If you do not, please stop using it.
If you are accepting on behalf of a company, you confirm you are authorised to bind it, and "you" means that company.
2. The site is information, not advice
Project writeups, articles, specifications and figures here describe work we have done or opinions we hold. They are not engineering advice for your design, and applying them is your decision.
Hardware, electrical work and regulatory compliance carry real risk to people and property. Have a qualified engineer review your own design against your own requirements, and confirm compliance with the standards that apply to you.
Nothing on this site, and no reply to a contact form message, creates a professional engagement, a duty of care, or any obligation to perform work. That starts only when both parties sign a written agreement.
3. Commercial relationships
Some links on this site are affiliate links and earn us a commission, several products described in the portfolio are our own, and we have working relationships with a test lab and with contract manufacturers. All of it is set out on our disclosure page, which forms part of these terms.
Anything you buy from a third party is a contract between you and that seller. We are not a party to it, and questions of price, availability, delivery, warranty, returns and support are theirs, not ours.
4. Accuracy and forward-looking statements
We publish figures, dates and specifications in good faith and correct errors when we find them, but we do not warrant that everything here is complete or current. Specifications change, parts go end of life, and prices move.
Some pages describe products and facilities still being built. Dates for those are estimates, not commitments, and they can move.
5. Our content
The text, images, code, designs and layout of this site belong to Ground Plane Studio, LLC or to our clients, except where a third party is credited, and are protected by copyright.
You may:
- read, print and share pages for your own reference;
- link to any page;
- quote a reasonable extract with attribution and a link back to the source page.
You may not, without written permission:
- republish substantial portions, in any medium;
- scrape or bulk-copy the site, or use it to train a machine learning model for commercial resale;
- remove attribution, or present our work as yours or as an endorsement of yours.
Client names, logos and trade marks belong to their owners and appear here descriptively, to identify work we did. Their appearance is not an endorsement of us by them.
6. Acceptable use
You agree not to:
- use the site unlawfully, or to send anything unlawful, defamatory, infringing or malicious;
- probe, scan or test the security of the site, or try to reach any part of it you are not authorised to;
- interfere with its operation, including by automated request volume that degrades it for others;
- use the contact form for bulk marketing, or to send content you have no right to send.
Responsible security reports are welcome and will not be treated as a breach of this section. Send them to hello@groundplanestudio.com.
7. What you send us
You keep ownership of anything you send through the contact form or by email. You grant us only the permission we need to read it, store it and reply to it.
Do not send confidential information, trade secrets or anything export-controlled before an NDA is in place. Until one is signed, we cannot treat an unsolicited message as confidential. We are happy to sign one first, so ask.
If you send us an unsolicited idea or proposal, we are under no obligation to keep it confidential or to refrain from working on something similar, which we may already be doing independently.
8. Third-party links
We link to other sites where it is useful. We do not control them and are not responsible for their content, products, availability or privacy practices. A link is not an endorsement, except where we say plainly that we recommend something.
9. Availability
The site is provided as it is and as available, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title or non-infringement. We do not promise it will be uninterrupted, timely, secure or error free, and we may change, suspend or remove any part of it at any time without notice.
10. Liability
To the fullest extent the law allows, Ground Plane Studio, LLC and its members and contractors are not liable for any indirect, incidental, special, consequential, exemplary or punitive loss arising from your use of this site or reliance on anything in it, including lost profits, lost business, lost data, or the cost of substitute goods or services, even if we were told such loss was possible.
Where liability cannot be excluded, our total liability arising out of or relating to the site is limited to one hundred US dollars (USD 100).
Some jurisdictions do not allow these exclusions or limitations, in which case they apply to you only as far as the law permits. Nothing here limits liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence.
This section covers the website. Liability for engineering work we are engaged to perform is governed by the agreement covering that work.
11. Indemnity
You agree to indemnify us against any claim, loss or reasonable legal cost arising from your breach of these terms, your misuse of the site, or content you send us that you had no right to send.
12. Governing law
These terms, and any dispute arising out of them or the site, are governed by the laws of the State of California, without regard to its conflict of law rules. You and we submit to the exclusive jurisdiction of the state and federal courts located in California. If you use the site from elsewhere, you are responsible for complying with your own local law.
13. General
- Severability. If any provision is held unenforceable, the rest stays in force and that provision is limited to the minimum extent necessary.
- No waiver. Not enforcing a provision is not a waiver of it.
- Entire agreement. These terms, together with the privacy and disclosure pages, are the whole agreement about the site. A signed engagement agreement takes precedence over them for the work it covers.
- Assignment. You may not assign these terms; we may assign them to a successor of the business.
14. Changes
We may update these terms. The date at the top of the page tells you when they last changed, and continuing to use the site after that means you accept the update. Questions: hello@groundplanestudio.com.
